This Affiliate Agreement is being entered into between Jacqueline R Green, doing business as Great Parenting Simplified (“Host”) and you, the Affiliate, as a result of you signing up for the Great Parenting Simplified Series Partner Program. It is effective upon enrolling in the Partner Program.

When you choose to become an Affiliate , you automatically agree to indemnify and hold harmless the Host from and against all claims, losses, expenses and liabilities of every kind including reasonable attorney’s fees arising out of the inaccuracy or breach of any provision of this Agreement. You expressly release the Host from any and all claims arising out of the use of the material. You hereby certify that you I have read and ACCEPT the foregoing and fully understand the meaning and effect thereof, and intending to be legally bound, hereunto set my signature below.

This Agreement is governed in all respects by the laws of Alberta, Canada

1. Partner Program Description 

The Great Parenting Show is free for attendees to listen to live, and replays and excerpts from the interviews will also be available to listen to for free at limited times after the live event.

The 8th Great Parenting Simplified Series is planned to run from April 27 and May 8th. The exact dates may change, at the discretion of GPS.

The Affiliate may begin to promote the series immediately. It is recommended that promotion starts at least a week before the series begins, and continues for up to 4 weeks after the show. The affiliate is welcome to promote as often as they’d like during that period.

The terms of this Agreement (“Term”) shall commence upon affiliate signing up for the Partner Program and shall continue until 4 weeks after the series ends. Commissions end at this point and the cookie is no longer valid because historically very few if any sales come after this period. If the affiliate expects to have more sales for some reason, they should contact the Host to see about extending the promotional window. 

The Affiliate has signed up as an Affiliate through the website at https://greatparentingshow.com/affiliate/. All affiliate information will be maintained in the Partner Portal, and there will also be regular email updates sent with promotional material.

Through the Partner Portal and emails, the Affiliate shall be provided with unique affiliate links which contain cookie tracking. The Affiliate acknowledges that he or she must use these links in order to earn affiliate commissions. The host is not responsible for anyone signing up not using the referral link.

The Affiliate shall be provided with logos, graphics and other promotional materials to promote the Series. The Host grants the Affiliate a non-exclusive, non-transferable, royalty-free license to use these materials as is reasonably necessary to promote the Series. The Host warrants that he/she is the owner of all Series promotional materials. 

The Affiliate will only sell the current Great Parenting Simplified Series and not bundle anything else up to sell with the series.

2. Affiliate Sales Monitoring

Affiliate links contain a tracking cookie containing Affiliate’s unique identification. The tracking cookie expires 4 weeks after the end of the series. The Great Parenting Show’s partner program provides a 50% commission for sales of the recordings through the referral link ONLY. The merchant fee (eg PayPal) to process the sale will be deducted before the 50% commission is calculated. We are not responsible for anyone signing up not using the referral link.

Affiliate commissions shall be paid 4 weeks after the end of sales, which is 8 weeks after the series ends, via PayPal in USD. The Affiliate shall provide his or her Paypal email address on the Partner Program website. The Affiliate shall maintain responsibility for the payment of any state or federal taxes due on commissions received. 

Reporting of affiliate sales shall be made available in Partner Portal. 

3. Affiliate Email Marketing 

The Affiliate shall not utilize spam email methods in promoting the 8th GPS series as an Affiliate. As well, the Affiliate must follow all privacy/spam laws established in the countries of their clients. 

4. Limitation of Liability 

The Host makes no warranties, guarantees or representations regarding the amount of sales or commissions attributable to The Affiliate. In no event shall the Host be held liable for any losses, damages or injuries resulting from full performance of this Agreement, to the extent allowed by law. 

5. Independent Contract Relationship 

The Affiliate’s relationship with Host shall be that of an independent contractor. Nothing in this agreement is intended to, or should be interpreted to, create an employment relationship. The Affiliate and Host acknowledge that this Agreement does not create a partnership, joint venture or employment relationship between them, and is exclusively a contract for affiliate commissions related to the 8th GPS Series. 

No part of the Affiliate’s compensation (if any) will be subject to withholding by the Host for the payment of any social security, governmental or other employee payroll taxes. 

6. Confidentiality 

Both parties agree to keep in confidence any confidential information disclosed by the other party during the Term and following the expiration of the Term. Confidential information includes, but is not limited to, any business, strategic, customer or technical information. 

7. Dispute Resolution 

In the event that a dispute arises out of or in connection with this Agreement, the parties agree to attempt to first resolve the dispute through friendly means. 

If the dispute is not resolved within a reasonable period of time, this Agreement shall be resolved by binding arbitration. 

8. Termination 

Either party may cancel this Agreement without penalty by giving at least 3 days notice to the other party. If The Affiliate cancels this Agreement, he or she shall be entitled to commissions earned up to the date of cancellation. 

If Host cancels this Agreement due to fault of the Affiliate for failure to act within the scope of this Agreement, the Affiliate forfeits any and all unpaid commissions. If Host cancels this Agreement due to no fault of The Affiliate, Host shall pay affiliate all commissions earned up to cancellation date. 

9. General Provisions 

Host shall maintain Affiliate website in such a manner that accurately reflects the click-throughs and sales made by the Affiliate. 

If any provision of this Agreement is unenforceable, that provision shall be deemed amended to achieve as near as possible the same economic effect as the original provision and the remainder of this Agreement shall remain in effect and not be impaired. 

Both parties agree that neither shall be liable for failure to perform or delays in performance caused by circumstances reasonably beyond his or her control. 

This Agreement constitutes the entire contract between Host and the Affiliate regarding Affiliate commissions. This Agreement supersedes any previous negotiations, commitments, agreements or understandings, oral or written, surrounding Affiliate commissions. The Host reserves the right to modify any of the terms of this Agreement at any time and shall provide the Affiliate with any changes in a timely manner.
